1. Definitions

• Notifying SVECTOR immediately of any unauthorized access or use of your account

4. Intellectual Property Rights

4.1 Ownership

The Services and all rights therein are and shall remain SVECTOR's property or the property of our licensors. Neither these Terms nor your use of the Services convey or grant to you any rights:

• In or related to the Services except for the limited license granted above; or
• To use or reference in any manner SVECTOR's company names, logos, product and service names, trademarks, or services marks

4.2 License Grants

Subject to your compliance with these Terms, SVECTOR grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services solely for your internal business purposes.

5. Data Protection and Privacy

SVECTOR processes personal data in accordance with our Privacy Policy and applicable data protection laws. By using our Services, you agree to our processing of personal data as described in our Privacy Policy.

You agree to pay all applicable fees for the Services as set forth in the relevant order form or service agreement. All payments are non-refundable unless otherwise specified in writing.

6.2 Taxes

All fees are exclusive of taxes, levies, or duties imposed by taxing authorities. You are responsible for all such charges, including GST, sales tax, withholding tax, or any other applicable taxes.

7. Confidentiality and Non-Disclosure

Each party agrees to maintain the confidentiality of any proprietary information received from the other party, including but not limited to:

• Technical specifications and documentation
• Business and marketing plans
• Financial information
• Product development information
• Customer data and information
• Source code and technological know-how

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SVECTOR, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

• Loss of profits, data, use, goodwill, or other intangible losses
• Business interruption
• Cost of procurement of substitute goods or services
• Any other damages arising out of or in connection with the use or inability to use the Services

9. Indemnification

You agree to defend, indemnify, and hold harmless SVECTOR and its licensors, and their respective employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Services
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your User Content caused damage to a third party

10. Term and Termination

10.1 Term

These Terms shall remain in full force and effect while you use the Services or maintain an account.

10.2 Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

10.3 Effects of Termination

Upon termination:

• Your right to use the Services will immediately cease
• We may delete or archive your User Content and account information
• You remain liable for all amounts due under your account up to and including the date of termination

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

11.2 Jurisdiction

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat, India.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

15. Service Level Agreement (SLA)

15.1 Service Availability

SVECTOR commits to maintaining a Service availability of 99.9% measured on a monthly basis, excluding scheduled maintenance windows. Detailed SLA terms are provided in separate service agreements.

15.2 Support Response Times

We provide technical support with the following response time commitments:

• Critical Issues: Response within 1 hour
• High Priority Issues: Response within 4 hours
• Medium Priority Issues: Response within 8 hours
• Low Priority Issues: Response within 24 hours

16. Technical Requirements

To access and use the Services effectively, you must maintain:

• Compatible hardware and software systems meeting our minimum technical requirements
• Appropriate network connectivity and bandwidth
• Updated security protocols and measures
• Regular software updates and maintenance

17. Export Compliance

The Services may be subject to export laws and regulations. You agree to:

• Comply with all applicable export and re-export control laws and regulations
• Obtain any necessary licenses or authorizations
• Not use the Services in any country subject to trade restrictions
• Not provide the Services to prohibited parties or for prohibited end-uses

18. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to:

• Acts of God, natural disasters, or severe weather conditions
• War, terrorism, or civil unrest
• Government actions or restrictions
• Network or telecommunications failures
• Cybersecurity incidents or attacks
• Power outages or other utility failures
• Labor disputes or strikes
• Pandemics or public health emergencies

19. Insurance

SVECTOR maintains appropriate insurance coverage, including:

• Professional Liability Insurance
• Cyber Liability Insurance
• Commercial General Liability Insurance
• Workers' Compensation Insurance

20. Assignment

You may not assign or transfer these Terms or any rights and licenses granted hereunder without our prior written consent. SVECTOR may assign these Terms or any rights hereunder without restriction or notification.

21. Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law:

• Such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole
• Such provision shall be deleted without affecting the remaining provisions herein
• The invalid provision shall be replaced with a valid provision that achieves the intended commercial purpose
